Cryptocurrencies are digital assets that use cryptography and distributed ledger technology to facilitate secure financial transactions. The SEC, or the U.S. Securities and Exchange Commission, is an independent government agency responsible for regulating securities markets in the United States. As such, it has taken an active role in determining how cryptocurrencies should be classified under existing securities laws. In 2018, the SEC issued a set of guidelines that classify some cryptocurrencies as “securities”—which means they must follow certain regulations in order to be traded legally on exchanges in the United States.

In its guidance document entitled “Framework For Investment Contract Analysis Of Digital Assets” (the “Framework”), the SEC outlines criteria used to determine whether a cryptocurrency is considered a security:

1) Is there an investment of money?

2) Is there a common enterprise?

3) Is there expectation of profits from efforts of others?

If these three conditions are met, then the cryptocurrency qualifies as being a security according to US law and falls under SEC regulation accordingly. Any platform trading or offering advice about such crypto-securities must register with both state regulators and federal authorities before conducting business activities related to them within US jurisdiction; registration may sometimes require additional fees depending on circumstances . Additionally, issuers who conduct initial coin offerings (ICOs) are subject to further scrutiny by both state and federal governments as well as registering with relevant agencies like FINRA (Financial Industry Regulatory Authority). Those token holders also need proper authorization before making any transfers involving those tokens into domestic accounts or overseas ones if applicable—otherwise they could face possible penalties due lack compliance with current legal requirements regarding this matter .

It is important for investors interested in buying crypto-securities understand their rights when dealing with companies issuing these kinds of products; they should always exercise caution when considering investing funds into any kind of digital asset regardless if it’s labeled as “security” or not since rules governing this area might change without prior notification at times leading potential losses for investors unprepared for situations like those .
