SEC Chairman Crypto Securities

Crypto securities, also known as digital security tokens, are a type of investment instrument that is created and stored on a distributed ledger or blockchain. These tokens represent some form of financial value such as equity in a company or real estate and can be used to raise capital for businesses through Initial Coin Offerings (ICOs). The U.S. Security and Exchange Commission (SEC) has recently taken an active role in regulating crypto securities due to the potential risks associated with them.

In 2018, SEC chairman Jay Clayton issued several statements outlining the SECs’ stance on crypto securities:

“Our mission at the SEC is to protect investors, maintain orderly markets and facilitate capital formation. Our approach to cryptocurrencies reflects this mission… As with any new technology, there may be opportunities for bad actors who seek to exploit retail investors by offering unregistered security tokens without proper disclosure or registration.”

The chairman also highlighted that many ICOs involve investments of money in exchange for digital assets which can have characteristics similar to traditional stocks and bonds – thus they should be regulated like other securities products under existing federal laws. This means that companies launching ICOs must register their offerings with the SEC if they want to offer their tokens publicly via exchanges or platforms available throughout the United States. In addition all token issuers must provide full disclosure regarding their business operations and financial condition so investors can make informed decisions about investing in these projects.

Moreover, any trading platform offering access to US customers will need approval from regulatory authorities such as the Financial Industry Regulatory Authority (FINRA) before allowing people buy/sell these types of securities online legally within US borders . In August 2019 FINRA recommended broker-dealers take extra care when dealing with cryptocurrency trading activities due its heightened risk profile compared traditional asset classes such as stocks & bonds . Overall it is clear that regulation surrounding crypto securities is still developing but it appears that there will likely be additional regulations imposed in near future given continued growth within this space globally .
